The rules describe an NPC as, IIRC, a throw-away character. The example they use is a shopkeeper, in fact.
But this is never something that will be black and white. Nor should it really matter. Saying "a PC will always beat an NPC" is simple foolishness. If this is the case, we've simply replaced one set of beancounting with another. But now everyone will be rushing to create as many new accounts as they can.
Duels and battles come down to writing skill, tactics, and how long one has been around, imho.
I consider my characters PCs when they have participated in more than one or two threads. If they're regular guests (so to speak) they're characters. NPCs are characters created for one thread and forgotten.
